(f/k/a High Ridge Brands Co.) and 8 affiliated debtors (collectively, the "Debtors") each filed a voluntary petition for relief under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware. The cases are pending before the Honorable Brendan L. Shannon and the Debtors have requested that their cases be jointly administered under Case No. 19-12689.

Sale
On February 7, 2020, the Bankruptcy Court entered an order approving the bidding procedures in connection with the sale of substantially all of the Debtors' assets. The Sale Auction took place on February 20, 2020, at 10:00 a.m. (ET) at the offices of Debevoise & Plimpton, 919 Third Avenue, New York, NY 10022.
Acquisition
On February 24, 2020, High Ridge Brands announced that, following a comprehensive sales process and a competitive auction conducted under Section 363 of the U.S. Bankruptcy Code, an affiliate of Perrigo Company acquired the Company’s oral care business and an affiliate of Tengram Capital Partners acquired the Company’s hair care and skin cleansing business.
The transaction was approved by the U.S. Bankruptcy Court for the District of Delaware and certain other closing conditions. A hearing to seek court approval for the transaction was scheduled for Wednesday, February 26, 2020 at 11:30 AM ET before the Honorable Brendan L. Shannon, United States Bankruptcy Court for the District of Delaware, at US Bankruptcy Court, 824 Market St., 6th Fl., Courtroom #1, Wilmington, Delaware.
The transaction closed in the first quarter of 2020.

- General Bar Date: May 4, 2020, at 5:00 p.m. (prevailing Eastern Time)
