Case Background

On December 12, 2018, Catalina Marketing reached an agreement with the majority of its lenders to effectuate a balance sheet restructuring that will significantly enhance the Company's financial flexibility, reducing its debt by more than 75% and positioning the company for long-term success.  To implement the negotiated restructuring transaction, Catalina filed voluntary petitions for a pre-packaged court-supervised Chapter 11 restructuring in the U.S. Bankruptcy Court for the District of Delaware.  As part of the negotiated transaction, Catalina's existing lenders have agreed to provide funding for the chapter 11 process and have committed to provide additional funding upon emergence.  Catalina's operations outside the U.S. are not part of the Chapter 11 filing and will not be affected by the Chapter 11 process.

Catalina expects all operations - both in the U.S. and overseas - to continue as usual throughout the restructuring process.  There will be no interruption in Catalina's ability to serve its customers.  Retailers will continue to honor digital and print coupons provided by Catalina.

Plan and Disclosure Statement

On December 12, 2018, the Debtors filed their Joint Prepackaged Chapter 11 Plan of Reorganization and the Disclosure Statement related thereto. On January 31, 2019, the Bankruptcy Court entered an order confirming the Plan.  On February 15, 2019, the Effective Date of the Plan occurred, and the Plan was consummated.
